These Terms & Conditions ("Terms") govern your access to and use of Franchise HQ (the "Service"), operated by Franchise HQ ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance
By continuing to use the Service you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Franchise HQ is a football franchise simulating companion. It is a companion tool used alongside a separate football franchise game that you play yourself. The Service generates storylines, player arcs, offseason events, and roster/league management aids — it does not play or simulate the games themselves.
3. Acceptable Use
You agree not to misuse the Service. You will not:
- use the Service for any unlawful purpose, fraud, or spam;
- infringe on the intellectual property rights of others;
- upload malware or attempt to probe, scan, or interfere with the security of the Service;
- scrape, reverse engineer, or attempt to extract source code; or
- resell, redistribute, or sublicense access to the Service.
4. Accounts
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials and all activity under your account.
5. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Franchise HQ and protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
6. Payments, Subscriptions & Billing
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.
Premium subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time through your account or the customer portal; access continues until the end of the paid period.
6a. Usage Limits
Premium includes up to 1,000 AI player-card scans per billing cycle. The scan counter resets at the start of each new billing cycle (for example, if your subscription renews on the 18th of the month, your scan allowance resets on the 18th). Once you reach the limit, additional scans are paused until the next cycle begins. We may adjust these limits with reasonable notice; material changes will be communicated through the Service.
7. Free Trial
If a free trial is offered, you will be charged at the end of the trial unless you cancel before the trial ends.
8. Service Availability
We work to keep the Service available but do not guarantee uninterrupted or error-free performance. The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law.
9. Suspension & Termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations.
10. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits or data.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which Franchise HQ operates, without regard to conflict of laws principles.
